These terms are a plain-English summary of the agreement between you and Ledra Pay. They are not tax, payroll, or legal advice. Where these terms and a signed master services agreement conflict, the signed agreement governs.
Ledra Pay provides a software platform that orchestrates and transmits payroll: it integrates an accredited third-party payroll engine, moves data to and from that engine, produces and transmits statutory outputs, and files to the relevant government gateways.
Ledra Pay does not itself calculate gross-to-net payroll, and does not itself hold the government accreditation for payroll calculation or lodgement. The calculation of pay and the relevant accreditation are provided by the accredited third-party engine. Our role is the transmission, orchestration and integration layer around it.
Nothing on our website or in the service is a claim that Ledra Pay is itself government-certified or accredited to compute payroll. Where a country's regime uses "recognition" rather than "certification", we use the correct term for that regime.
You are responsible for the accuracy and completeness of the data you submit — employee details, pay inputs, tax and superannuation/pension information, and bank details. Incorrect or incomplete data that you provide is your responsibility, and the results that flow from it are not our fault.
You remain the employer and the responsible taxpayer. Using Ledra Pay does not transfer your statutory employer, tax, or reporting obligations to us. You are responsible for meeting your own legal duties to your employees and to the authorities.
You must keep your credentials secure, and you must not use the platform for any unlawful purpose, to submit fraudulent data, to attempt to breach security or rate limits, or to build a competing service. Our full acceptable-use rules apply and may be updated from time to time.
We aim to keep the platform available and to transmit and file on time, and we will describe any service-level commitment separately in your service agreement.
We warrant the availability and orchestration of the platform — we do not warrant the correctness of the payroll calculation. Because the pay calculation is performed by the accredited third-party engine, calculation correctness is that engine provider's responsibility, not ours. We also do not warrant that a government gateway will accept a filing, or that a gateway will itself be available.
Except for the commitments expressly stated in these terms (and any signed agreement), the platform is provided "as is", and we disclaim other warranties to the extent the law allows. Nothing we provide is tax, payroll, or legal advice; confirm your obligations with the relevant authority or your adviser.
Nothing in these terms excludes or limits any right you have under mandatory consumer or other law that cannot lawfully be excluded.
Fees, billing and payment terms are as set out in your order form or plan.
Because a third party computes the payroll and holds the accreditation, responsibility for a calculation error or an accreditation failure sits with that engine provider, and we pass such claims through to them under our agreement with them. Our own responsibility is for the transmission and orchestration service we provide.
Our total liability to you is limited [as set out in your signed agreement], and we are not liable for indirect or consequential loss, to the extent the law allows. You agree to indemnify us for loss arising from your breach of these terms or from inaccurate data you provide.
How we handle personal data is described in our Privacy Policy. In short: your organisation is the data controller, Ledra Pay acts as a processor on your behalf, and the accredited third-party engine acts as a sub-processor where it computes your payroll.
We may suspend access where necessary to protect the platform, its users, or to meet a legal or security obligation. Either party may end the agreement as set out in your order form or a signed agreement. On termination we will return or delete your data as described in the Privacy Policy and any signed agreement.
We may update these terms from time to time. Where a change is material, we will take reasonable steps to let you know. Continuing to use the platform after a change takes effect means you accept the updated terms.
These terms are governed by, and construed in accordance with, the laws of the jurisdiction stated in your signed agreement, and the courts of that place have jurisdiction, subject to any mandatory local law that applies to you.
